The actual contract for sale is directly between the seller and buyer. wwmplace.com is not a traditional auctioneer. While we may provide pricing, shipping, listing, sourcing, and other guidance in our Services, such guidance is solely informational and you may decide to follow it or not. Also, while we may help facilitate the resolution of disputes through various programs, wwmplace.com has no control over and does not guarantee the existence, quality, safety or legality of items advertised; the truth or accuracy of users' content or listings; the ability of sellers to sell items; the ability of buyers to pay for items; or that a buyer or seller will actually complete a transaction or return an item. This User Agreement, the User Privacy Notice, the Mobile Devices Terms, and all policies posted on our sites set out the terms on which wwmplace.com offers you access to and use of our sites, services, applications and tools (collectively "Services"). Using wwmplace.com In connection with using or accessing the Services you will not: post, list or upload content or items in inappropriate categories or areas on our sites; breach or circumvent any laws, third-party rights or our systems, policies, or determinations of your account status; use our Services if you are not able to form legally binding contracts (for example, if you are under 18 years old), or are temporarily or indefinitely suspended from using our sites, services, applications or tools; fail to pay for items purchased by you, unless you have a valid reason as set out in an wwmplace.com policy, for example, the seller has materially changed the item's description after you bid, a clear typographical error is made, or you cannot contact the seller (see our Unpaid item policy); fail to deliver items sold by you, unless you have a valid reason as set out in an wwmplace.com policy, for example, the buyer fails to comply with the posted terms in your listing or you cannot contact the buyer; manipulate the price of any item or interfere with any other user's listings; post false, inaccurate, misleading, deceptive, defamatory, or libelous content; take any action that may undermine the feedback or ratings systems (see about our Feedback policies); transfer your wwmplace.com account (including Feedback) and user ID to another party without our consent; distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes; distribute viruses or any other technologies that may harm wwmplace.com or the interests or property of users; use any robot, spider, scraper, data mining tools, data gathering and extraction tools, or other automated means to access our Services for any purpose, except with the prior express permission of wwmplace.com; interfere with the working of our Services, or impose an unreasonable or disproportionately large load on our infrastructure; infringe the copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights (collectively, "Intellectual Property Rights") that belong to or are licensed to wwmplace.com. Sellers must meet wwmplace.com 's minimum performance standards. Failure to meet these standards may result in wwmplace.com charging you additional fees, and/or limiting, restricting, suspending, or downgrading your seller account. If we believe you are abusing wwmplace.com in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our Services, delay or remove hosted content, remove any special status associated with your account(s), remove, not display, and/or demote listings, reduce or eliminate any discounts, and take technical and/or legal steps to prevent you from using our Services. If we believe you are violating the policy on Offers to buy or sell outside of wwmplace.com, you may be subject to a range of actions, including limits on your buying and selling privileges, restrictions on listings and account features, suspension of your account, application of fees, and recovery of expenses for policy monitoring and enforcement. If you are a seller and you offer or reference your contact information or ask a buyer for their contact information in the context of buying or selling outside of wwmplace.com, you may be liable to pay a final value fee applicable to that item, even if the item does not sell. We may cancel unconfirmed accounts or accounts that have been inactive for a long time or modify or discontinue our Services. Additionally, we reserve the right to refuse or terminate all or part of our Services to anyone for any reason at our discretion. Member’s Responsibilities Each Member represents, warrants and agrees that you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder;  you use the Sites and Services for business purposes only; and the address you provide when registering is the principal place of business of your business entity.  For purposes of this provision, a branch or liaison office will not be considered a separate entity and your principal place of business will be deemed to be that of your head office. Member will be required to provide information or material about your entity, business or products/services as part of the registration process on the Sites or your use of any Service or the member account.  Each Member represents, warrants and agrees that such information and material whether submitted during the registration process or thereafter throughout the continuation of the use of the Sites or Service is true, accurate, current and complete, and you will maintain and promptly amend all information and material to keep it true, accurate, current and complete. Upon becoming a Member, you consent to the inclusion of the contact information about you in our Buyer Database and authorize wwmplace.com and our affiliates to share the contact information with other Users or otherwise use your personal information in accordance with the Privacy Policy. Each Member represents, warrants and agrees that you shall be solely responsible for obtaining all necessary third party licenses and permissions regarding any User Content that you submit, post or display; any User Content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party (“Third Party Rights”);  you have the right and authority to sell, trade, distribute or export or offer to sell, trade, distribute or export the products or services described in the User Content and such sale, trade, distribution or export or offer does not violate any Third Party Rights and you and your affiliates are not the subject of any trade restrictions, sanctions or other legal restrictions enacted by any country, international organization or jurisdiction. Each Member further represents, warrants and agrees that the User Content that you submit, post or display shall:

1. a) be true, accurate, complete and lawful;
2. b) not be false, misleading or deceptive;
3. c) not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors;
4. d) not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
5. e) not violate the Product Listing Policy, other Terms or any applicable Additional Agreements
6. f) not violate any applicable laws and regulations (including without limitation those governing export control, consumer protection, unfair competition, or false advertising) or promote any activities which may violate any applicable laws and regulations;
7. g) not contain any link directly or indirectly to any other web Sites which includes any content that may violate the Terms.

Each Member further represents, warrants and agrees that you shall/are:

1. a) carry on your activities on the Sites in compliance with any applicable laws and regulations;
2. b) conduct your business transactions with other users of the Sites in good faith;
3. c) carry on your activities in accordance with the Terms and any applicable Additional Agreements;
4. d) not use the Services or Sites to defraud any person or entity (including without limitation sale of stolen items, use of stolen credit/debit cards);
5. e) not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;
6. f) not engage in spamming or phishing;
7. g) not engage in any other unlawful activities (including without limitation those which would constitute a criminal offence, give rise to civil liability,  etc) or encourage or abet any unlawful activities;
8. h) not involve any scheme to undermine the integrity of the data, systems or networks used by wwmplace.com and/or any user of the Sites or gain unauthorized access to such data, systems or networks;
9. j) not, and your director(s), officer(s), controlling party/ies, affiliates and legal jurisdiction in which any of the foregoing persons or entities is organized or has operations are not, persons or entities that are subject to any economic or fraud sanctions of any governmental, international or regulatory entities; and
10. k) not engage in any activities that would otherwise create any liability for wwmplace.com or our affiliates.

If Member provides a business referee, Member represents, warrants and agrees that you have obtained all necessary consents, approvals and waivers from your business partners and associates to act as your business referee; post and publish their contact details and information, reference letters and comments on their behalf; and that third parties may contact such business referees to support claims or statements made about you. You further warrant and agree that all reference letters and comments are true and accurate and third parties may contact the business referees without the need to obtain your consent. Member agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for Framcisca's provision of the Services, evaluating whether Member has breached the Terms and/or handling any complaint against the Member.  If Member’s failure to do so results in delay in, or suspension or termination of, the provision of any Service. Member acknowledges and agrees that wwmplace.com shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through the Services or sites. wwmplace.com does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information Member acknowledges and agrees that the Services may only be used by businesses and their representatives for business use and not for individual consumers or for personal use. Member acknowledges and agrees that each Member is solely responsible for observing applicable laws and regulations in its respective jurisdictions to ensure that all use of the Site and Services are in compliance with the same. Policy Enforcement When a buyer or seller issue arises, we may consider the user's performance history and the specific circumstances in applying our policies. We may choose to be more lenient with policy enforcement in an effort to do the right thing for both buyers and sellers. Fees The fees we charge for using our Services are listed on our Standard Selling Fees page. We may change our seller fees from time to time by posting the changes on the wwmplace.com, but with no advance notice required for temporary promotions or any changes that result in the reduction of fees. If you are a seller, you are liable for transaction fees arising out of all sales made using some or all Franvisca Services, even if sales terms are finalized or payment is made outside of wwmplace.com. In particular, if you offer or reference your contact information or ask a buyer for their contact information in the context of buying or selling outside of wwmplace.com, you may be liable to pay a final value fee applicable to that item, even if the item doesn’t sell, given your usage of our Services for the introduction to a buyer.
